If they accept more than 12 paying guests, then the boat has to comply with the SOLAS regulations. Under that number, its a private yacht; over, its a cruise ship. I don't know the SOLAS regulations by heart, but the design criteria are very stringent. And its not just the obvious stuff like fireproofing, fire fighting and other safety equipment; SOLAS compliant ships have to carry their butt-ugly-safety-orange lifeboats in a prominent location (which really can ruin a bazillionaire's view). And the crew quarters have to be much, much bigger. There are much bigger yachts than this that have accomodations for only 12 passengers.
